Terms of Service

1. Acceptance of these Terms

By accessing or using DuoReels, signing up for an account, or clicking to accept these Terms, you agree to be bound by them and by the policies referenced here, including our Privacy Policy, Acceptable Use Policy, Refund Policy, and the AI Generated Asset Policy.

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Who operates DuoReels

DuoReels is operated by Venalytics Inc., a company based in Canada. References to "we", "us", and "our" mean Venalytics Inc..

3. Eligibility and account responsibility

You must be at least the age of majority in your jurisdiction (and at least 18) to create an account. You are responsible for all activity under your account and for the accuracy of the information you provide.

4. Account security

You are responsible for keeping your login credentials confidential. Sessions are protected with secure, httpOnly cookies and are revoked when an account is suspended or a password is changed. Notify us promptly of any suspected unauthorized access. We are not liable for losses arising from compromised credentials that were not our fault.

5. Description of the Service

DuoReels is a SaaS platform for producing dialogue-style short-form reels. Features include projects, content and CSV workflows, Character Assets, the Generate Duo feature, the Producer section, the Configure Reel layout tool, CTA and logo branding, and reel rendering/export.

6. Plans, billing, subscriptions, credits, and limits

Access is provided on plan-based tiers (currently Starter, Creator, and Enterprise) with project, character-duo, reel, and AI-generation limits. Paid plans renew automatically until cancelled. Plan limits, credits, and rate limits protect platform capacity and may be enforced or adjusted.

7. Payment processing (Stripe)

Payments are processed by Stripe. By purchasing a plan you also agree to Stripe’s terms. We rely on Stripe’s hosted, PCI-compliant payment flows to collect payment details.

8. No card data stored by DuoReels

DuoReels does not store raw card numbers, CVC, or full payment instrument details. We retain only limited payment metadata such as Stripe identifiers, amounts, currency, and status. This is described further in our Privacy Policy and is not a claim of formal PCI certification.

9. AI-generated features and output limitations

Certain features use AI image generation. AI output is probabilistic and may vary between runs. We do not guarantee exact appearance, consistency, likeness, or suitability, and generated assets may require regeneration or adjustment. You are responsible for reviewing output before publishing. See the AI Generated Asset Policy.

10. Character asset generation and reuse

Reuse is a core concept of the Service: character and duo assets are designed to be reused across reels. Identical or substantially similar requested combinations may resolve to cached/reused assets to control cost and consistency.

11. Shared vs private assets

Where the Service offers shared (platform-reusable) and private (account-scoped) asset behavior, shared assets may be reused by the platform and other users in accordance with the applicable settings, while private assets are limited to your account. All assets remain subject to moderation, security, and legal-retention processes regardless of visibility.

12. User content and uploads

You may upload content, scripts, CSV files, logos, and brand assets ("User Content"). You must have the rights to everything you upload. See the User Upload Policy. We may validate, scan, restrict, or remove uploads that violate our policies.

13. Your license to DuoReels

You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, reproduce, and display your User Content and generated outputs solely to operate, provide, secure, and improve the Service (including processing prompts and reference assets through AI and infrastructure providers). This license ends when the content is deleted, except for copies retained as required for backup, security, legal, fraud-prevention, or accounting purposes.

14. Your responsibility for published reels

You are solely responsible for reels you create, export, publish, or distribute, and for ensuring they comply with all applicable laws and the rules of any social or distribution platform you use. We do not review or approve your published content.

15. Prohibited uses

You must use the Service in accordance with the Acceptable Use Policy. Prohibited activity includes illegal content, infringement, impersonation, unsafe or exploitative content, fraud, abuse of AI generation, and attempts to bypass limits or security controls.

16. Affiliate program

If you participate in the affiliate program, the Affiliate Terms and Affiliate Disclosure Policy also apply.

17. Refunds

Refunds are governed by the Refund Policy and the Fraud & Chargeback Policy.

18. Suspension and termination

We may suspend or terminate access at any time for abuse, payment fraud, chargebacks, unsafe generation, copyright infringement, affiliate abuse, attempts to bypass limits or security, or violation of these Terms. You may stop using the Service at any time; cancellation is handled through your account’s billing flow.

19. Security, rate limits, and abuse controls

We operate rate limiting, upload validation, security-event logging, and abuse controls. We may throttle, block, or flag activity that appears abusive, automated, or harmful, and may record security events for review.

20. Service changes and availability

The Service is provided on an "as available" basis. We may add, change, or remove features, and we do not guarantee uninterrupted availability or that any feature will remain available.

21. Intellectual property

Venalytics Inc. and its licensors own all rights in the DuoReels platform, software, generation system, templates, prompts, models integration, metadata, and infrastructure. These Terms grant you a limited license to use the Service and a license to use generated assets and exported reels for lawful purposes — they do not transfer ownership of the underlying platform technology or shared reusable assets.

22. Feedback

If you send feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.

23. Third-party services

The Service integrates third-party providers (for example Stripe for payments and AI/image-generation and infrastructure providers). Their terms and processing apply to their portions of the Service.

24. Beta and experimental features

Features labelled beta, preview, or experimental are provided as-is, may change or be removed, and may be less reliable. Use them at your own discretion.

25. Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Service will be error-free, that generated assets will meet your expectations, or that your content will achieve any result.

DuoReels does not guarantee social media performance, views, engagement, revenue, virality, monetization, follower growth, or approval by any social platform.

26. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability for any claim is limited to the amounts you paid us for the Service in the three (3) months preceding the event giving rise to the claim.

27. Indemnification

You agree to indemnify and hold harmless Venalytics Inc. from claims, damages, and expenses arising out of your User Content, your published reels, your use of the Service, or your violation of these Terms or applicable law.

28. Governing law and venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada, subject to any non-waivable rights under your local law.

29. Changes to these Terms

We may update these Terms. Material changes will be reflected by an updated effective date and, where appropriate, additional notice. Continued use after changes take effect constitutes acceptance.
